Terms of Sale for the Digital Product “Apizzer Studio”

1. Definitions
- Seller – Apizzer, Sosnkowskiego 53/18, 66‑400 Gorzów Wielkopolski, Poland, VAT ID PL5992422473, REGON 211246195.
- Customer – any entity that makes a purchase.
- Consumer – a Customer who is a natural person acting for purposes outside their trade, business, craft or profession, within the meaning of Article 221 of the Polish Civil Code.
- Digital Product – the software licence for “Apizzer Studio”.
- Stripe Checkout – the external payment page operated by Stripe to which the Customer is redirected to make payment.
2. General Provisions
- These Terms govern the purchase of the Digital Product via the “Buy Now” link, which redirects the Customer directly to Stripe Checkout.
- A valid e‑mail address and a payment method accepted by Stripe are the only technical requirements for purchase.
3. Contract Formation Procedure
- The Customer clicks “Buy Now”, which redirects them to the secure Stripe Checkout page.
- After entering and authorising the payment details, Stripe displays a transaction confirmation.
- The sales contract is concluded once the Seller receives confirmation of payment.
- Automatically (within a few minutes at the latest), the Customer receives an e‑mail with a download link for the software and the licence key.
4. Price and Payment
- The price of the Digital Product is USD 799 (seven hundred ninety‑nine US dollars) and includes all applicable taxes (including VAT where applicable).
- Payments are processed by Stripe Payments Europe and will appear on the bank statement accordingly.
5. Delivery and Licence
- The Digital Product is delivered exclusively by electronic means via the download link provided in the e‑mail.
- The licence is time‑limited to 12 months, non‑exclusive, and permits installation on one (1) computer owned by the Customer.
- The Customer may not share, resell or sublicense the licence key.
6. Updates and Support
- The purchase includes 12 months of software updates and technical support.
- After this period, the Customer may optionally purchase an extension of the licence and/or support according to the current price list.
7. Right of Withdrawal
- Pursuant to Article 38 (13) of the Polish Consumer Rights Act, the Consumer loses the right of withdrawal if they consent to delivery of the Digital Product before the 14‑day withdrawal period ends.
- If such consent is not given, the Consumer may withdraw from the contract within 14 days by sending a statement to info@apizzer.com.
8. Complaints
- Complaints should be sent to info@apizzer.com.
- The Seller will respond within 14 days.
- The Consumer may use the ODR platform (ec.europa.eu/consumers/odr).
9. Liability
The software is provided “AS IS.” To the fullest extent permitted by law, the Seller shall not be liable for damages resulting from improper use, without prejudice to the mandatory rights of Consumers.
10. Intellectual Property
All materials on the Website and the software source code are the property of Apizzer.
11. Amendments to the Terms
We will inform Customers of planned changes at least 14 days in advance. Continued use of the Website after the effective date constitutes acceptance of the changes.
12. Governing Law and Jurisdiction
These contracts are governed by Polish law. Disputes shall be resolved by a court having jurisdiction under the Polish Code of Civil Procedure.
